This document serves as a comprehensive, legally binding instrument governing the relationship between you ("User") and ConsilliDrushti. By interacting with our digital ecosystem, subdomains, or proprietary software, you acknowledge unconditional acceptance of these protocols. If you do not concur with the standards set forth herein, you are strictly prohibited from further engagement with the Platform.
1. Lexicon and Interpretational Framework
• "The Platform": Refers in aggregate to the ConsilliDrushti web architecture, mobile applications, APIs, and centralized innovation marketplace.
• "Originator" (Company): Any legal entity or verified professional designating a problem statement ("Challenge") for resolution.
• "Thinker": An intellectually verified participant submitting structured work product ("Solution") in response to active Challenges.
• "Intellectual Contribution": Encompasses all data, methodologies, schematics, and creative work units uploaded to the digital environment.
2. Jurisdictional Eligibility and Warranties
Usage is restricted to autonomous individuals of at least sixteen (16) years of age. Parties under the age of majority in their respective jurisdictions represent that they possess explicit parental or guardian mandate to interact with our systems. You hereby warrant that all biographical data provided constitutes an accurate, current, and verifiable record.
3. Protocol for Application and Vetting
Access is not a right, but a privilege granted through a rigorous vetting process. ConsilliDrushti maintains absolute sovereignty over user admission. We reserve the unilateral right to suspend, terminate, or restrict access to any node of the Platform to safeguard the integrity of the ecosystem, without the burden of prior justification.
4. Non-Agency and Institutional Neutrality
ConsilliDrushti serves as a neutral infrastructure provider. These Terms do not create, and shall not be construed as creating, any partnership, joint venture, employer-employee, or principal-agent relationship between the Platform and any participating party.
7. Intellectual Property Devolution
Initial Intellectual Property (IP) remains with the "Thinker" during the ideation phase. However, upon selection of a binary outcome (Reward Selection) and the subsequent transfer of funds, all title, interest, global copyrights, and patentable rights devolute instantly to the "Originator." Thinkers irrevocably waive all moral rights and grant full exploitation permissions globally.
8. Financial Protocols and Escrow Governance
All reward allocations are handled via a secured escrow architecture. The Platform currently integrates a commission structure of 15% on successful biddings, alongside a non-refundable administrative processing fee of INR 700 per Challenge deployment.
Financial remediation (refunds) are subject to internal audit and may exceed a standard seven-day window for processing and verification.
12. Scope of Indemnification and Liability Caps
To the maximum extent permitted under prevailing statute, ConsilliDrushti's aggregate liability for all claims arising out of this agreement shall be strictly capped at the total fees remitted by the User to the Platform during the twelve (12) months immediately preceding the event. Indirect, consequential, or punitive damages are expressly excluded.
15. Governing Jurisdiction
These protocols shall be interpreted under the exclusive laws of the Republic of India. Any irreconcilable disputes shall be finalized through binding arbitration under the rules of Indian Arbitration Law.
